Agreement
These Terms of Service ("Terms") are a legal agreement between you and Nimbus Systems LLC("Nimbus," "we," "us," or "our") for your use of Reign Cloud (your home appliance) and the Nimbus mobile app (together, the "Service").
By creating an account, setting up Reign Cloud, or participating in the beta program, you agree to these Terms. If you do not agree, do not use the Service.

Beta software
Pre-release product
Reign Cloud and the Nimbus app are in beta. That means:
- features, screens, and behavior may change without notice
- some features may be limited, incomplete, or temporarily unavailable
- you may encounter bugs, delays, or interrupted access — including brief offline periods or remote access issues
- updates during beta may require guided manual steps rather than automatic updates
You are helping us test and improve the product. Beta participation is voluntary, and the Service is provided as-is during this period (see Disclaimers below).
Beta program scope
The beta is intended for friends-and-family testers, founder-supervised households, and initial external testers invited by Nimbus. We may limit or end beta access at any time.
What the Service is (and is not)
Personal cloud on your storage
Reign Cloud is a home appliance that stores your files on storage you own (such as a USB or external drive connected to the appliance). The Nimbus app helps you set up, back up, and access files on that appliance.
Nimbus does not operate a traditional cloud-storage service that keeps permanent copies of your photos and videos on company servers.
Remote access and relay
When you are away from home, the Service may use relay services to help your phone reach your appliance. Relay services provide connectivity — they are not intended as permanent storage for your files.
Some remote access capabilities may require an active subscription or account status in the future. During beta, remote access may be unavailable at times even when your appliance is working normally at home.
Eligibility and account
You must be at least 18 years old (or the age of majority where you live) to create an account and use the Service.
You agree to:
- provide accurate account information
- keep your login credentials secure
- notify us if you suspect unauthorized access to your account
During beta, each Reign Cloud appliance is designed for one owner account at a time. You are responsible for activity that occurs under your account.
Your content and ownership
You own your files
You retain ownership of the photos, videos, and other files you store on your Reign Cloud storage drive. Nimbus does not claim ownership of your personal content.
By using backup or upload features, you give Nimbus permission to copy and process your content only as needed to:
- store it on your appliance and your storage drive
- display it to you through the app
- perform deduplication, organization, and backup operations you request
This permission ends when you delete content from your storage (subject to technical limitations) or stop using the Service, except for copies reasonably kept in backups you control or records we must retain by law.
Your responsibilities for your content
You are responsible for:
- the content you back up and store
- complying with applicable laws
- maintaining your storage drive and home network
- keeping copies of important data if needed — Reign Cloud is not a substitute for a backup strategy you trust
Storage drive and appliance
Your storage drive and Reign Cloud appliance are your hardware (or hardware provided to you as part of a kit). Replacing a drive, unplugging storage, or losing power may pause backups or limit access until you reconnect or recover. See our consumer guides for safe recovery steps.
Acceptable use
You agree not to misuse the Service. For example, you will not:
- use the Service for unlawful purposes
- upload malware or content that infringes someone else's rights
- attempt to break into, disrupt, or overload Nimbus systems, relay infrastructure, or other users' appliances
- reverse engineer or tamper with the appliance software except as allowed by law
- resell or sublicense beta access without our written permission
- use the Service in a way that harms Nimbus, other users, or the network (including excessive automated requests through relay)
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a security or abuse risk.
Support
What we provide during beta
We offer best-effort support during beta:

- Hours: Monday–Friday, 6:00 PM – 9:00 PM Mountain Time
- Expected response: Within 48 hours
Support is not guaranteed to resolve every issue. Many problems can be fixed with safe recovery steps (restart the app, reboot Reign Cloud, reconnect on the same account). Factory reset disconnects your account from the appliance and should only be used when support instructs you.
What helps us help you
If you contact support, please include your Reign ID, account email, what you tried, and — if possible — a Support Information export from Settings → Diagnostics → Export Support Information. This is optional but helps us troubleshoot faster.
Service changes and availability
We may change, suspend, or discontinue any part of the Service during beta — including features, relay availability, app requirements, and supported devices.
We do not guarantee uninterrupted availability. In particular:
- home network access is the most reliable path during beta
- remote access may be temporarily unavailable
- brief offline periods after reboots or network changes are normal
We will try to communicate important changes, but beta software may change quickly.
Subscriptions and fees
During beta, access may be provided without charge or under terms described in your beta invitation.
In the future, certain capabilities — especially some forms of remote access — may require a paid subscription. If we introduce paid features after beta, we will present terms and pricing before you are charged.
Ending your use
You may stop anytime
You may stop using the Service at any time. You may request account deletion by contacting support.
Stopping use or deleting your account does not automatically erase files on your storage drive, which remains in your physical possession. Factory reset on the appliance disconnects the account link but also does not automatically wipe your drive.
We may suspend or terminate
We may suspend or terminate your access to the Service if:
- you violate these Terms
- we discontinue the beta or the Service
- we must do so for legal, security, or operational reasons
If we terminate your account for violation, we may limit your ability to use relay or account-linked features.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" DURING BETA, WITHOUT WARRANTIES OF ANY KIND, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- the Service will be uninterrupted, error-free, or secure at all times
- remote access will always be available
- backups will never fail or that all file types will be supported
- beta features will continue unchanged into a future release
You use the Service at your own risk. You are responsible for maintaining equipment, networks, and storage you control.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Nimbus and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profits, or business interruption — arising from your use of the Service or beta participation.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NIMBUS FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations. In those cases, these limits apply only to the extent allowed by law.
Indemnity
You agree to defend and indemnify Nimbus against claims, damages, and expenses (including reasonable legal fees) arising from:
- your content
- your misuse of the Service
- your violation of these Terms or applicable law
Disputes and governing law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules.[State of formation — to be confirmed by counsel], without regard to conflict-of-law rules.
Before filing a claim, you agree to contact us at support@nimbussystems.xyz and try to resolve the dispute informally.

General
- Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Nimbus about the Service during beta.
- Severability: If any provision is unenforceable, the rest remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or sale.
- Updates: We may update these Terms. We will post the new version and update the effective date. Continued use after changes means you accept the updated Terms, to the extent allowed by law.
